3. Service Enquiries and Project Engagement

No binding services contract is formed by the submission of an enquiry through this Website or by contact via email alone. A services agreement is only formed when both parties have executed a written contract.

4. Project Scope and Deliverables

For each project, the scope of work, technical specifications, acceptance criteria, and delivery milestones will be defined in a written project agreement prior to commencement of development. We reserve the right to decline projects that do not align with our capabilities or ethical standards.

Changes to an agreed project scope must be requested in writing and are subject to separate assessment and, where applicable, additional fees and revised timelines.

5. Fees and Payment

Fees for our services are agreed individually for each project or engagement. Unless otherwise stated in a project agreement:

  • Invoices are due within the payment term specified in the project agreement
  • Fees quoted are exclusive of any applicable taxes, including VAT, unless otherwise stated
  • We reserve the right to suspend work on a project in the event of overdue payment

We reserve the right to adjust our standard rates with reasonable advance notice. Any rate changes will not affect fees already agreed in a signed project contract.

6. Delivery of Services

Our software development services are delivered digitally. Access to deliverables, source code, and documentation will be provided in the format and via the channel specified in the project agreement.

Estimated delivery timelines are provided in good faith. Key IT Solutions LTD will not be liable for delays caused by factors outside our reasonable control, including client-side delays, changes in requirements, or third-party dependencies.

7. Acceptance and Defects

Deliverables will be presented for client review and acceptance in accordance with the criteria defined in the project agreement. Where a deliverable does not meet the agreed acceptance criteria, we will address identified defects within a reasonable period.

Key IT Solutions LTD does not warrant that deliverables will be free from all defects or that they will operate without interruption in all environments. We are not liable for issues arising from third-party systems, client infrastructure, or configurations outside our control.

8. Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive information disclosed during a project engagement. Specific confidentiality obligations will be defined in the project agreement. Neither party will disclose the other's confidential information to third parties without prior written consent, except as required by law.

9. Intellectual Property

Unless otherwise agreed in writing:

  • All deliverables, source code, and custom-developed software produced under a project agreement are transferred to the client upon receipt of full payment for that deliverable
  • Key IT Solutions LTD retains ownership of all pre-existing tools, frameworks, methodologies, and reusable components incorporated into deliverables (“background IP”). A non-exclusive licence to use such background IP as incorporated into the deliverable is granted to the client
  • All content, branding, and materials on this Website remain the exclusive property of Key IT Solutions LTD and may not be reproduced without prior written consent

10. Limitation of Liability

To the fullest extent permitted by applicable law, Key IT Solutions LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of this Website or our services, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising in connection with a project engagement shall not exceed the total fees paid by you to us for the specific deliverable or service giving rise to the claim.

11. Website Content and Accuracy

We endeavour to keep the content of this Website accurate and up to date. However, we make no warranties or representations regarding the completeness, accuracy, or suitability of any information on the Website. We reserve the right to modify or remove content at any time without notice.
